Welcome to Allied Parts Wholesale. By using alliedpartswholesale.com or submitting an application, you agree to these Terms of Service. If you do not agree, do not use our services.
1. Description of Services
Allied Parts Wholesale operates a connection platform that introduces verified dropshippers, online sellers, and resellers to our wholesale OEM auto parts distribution partner located in Coral Springs, Florida. We act as a connection broker. We do not manufacture, warehouse, or sell parts directly. The actual wholesale supply, pricing, fulfillment, and product warranties are provided by our distribution partner, which is a separate independent business.
2. Eligibility
You must be at least 18 years old and authorized to enter into binding contracts on behalf of any business you represent. By applying, you represent that all information you provide is accurate and complete.
3. Application & Approval
The dropshipper application is free. Submission does not guarantee approval. We review every application and may approve, decline, or request additional information at our sole discretion. Approval is also subject to acceptance by our distribution partner.
4. Wholesale Transactions
If approved, all parts orders, payments, fulfillment, returns, and warranties are transacted directly between you and our distribution partner under their own terms and policies. Allied Parts Wholesale is not a party to those transactions, does not collect payment for parts, and does not warrant product quality, availability, shipping, or any other element of the supply relationship.
5. Honest Representations
You agree to represent your business honestly in your application and in your downstream sales. You will not misrepresent OEM parts as something they are not, will not imply manufacturer affiliation or authorization where none exists, and will comply with applicable consumer protection and intellectual property laws when selling.
6. Trademark Disclaimer
Allied Parts Wholesale is an independent dropshipper connection platform. We are not affiliated with, endorsed by, sponsored by, or an authorized dealer of Honda Motor Co., Ltd., Toyota Motor Corporation, Subaru Corporation, Mitsubishi Motors Corporation, or any vehicle manufacturer. All manufacturer names, model numbers, part numbers, and trademarks are property of their respective owners and are used solely for descriptive identification purposes.
7. Prohibited Uses
You may not:
- Use the website or program for any unlawful purpose
- Submit false business credentials or impersonate another party
- Scrape or reverse-engineer the website or platform
- Share or resell the wholesale connection or warehouse account
- Interfere with the website’s operation or security
- Misrepresent OEM parts when selling to end consumers
8. Disclaimers
THE WEBSITE AND CONNECTION SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” We make no warranties, express or implied, regarding uptime, error-free operation, or the outcome of any application. We do not guarantee approval, specific wholesale pricing, inventory availability, fulfillment performance, or business results.
9. Limitation of Liability
To the maximum extent permitted by law, Allied Parts Wholesale’s total liability for any claim arising from your use of the website or program shall not exceed one hundred US dollars ($100). We are not liable for indirect, consequential, incidental, or punitive damages, including lost profits or business interruption.
10. Indemnification
You agree to indemnify and hold harmless Allied Parts Wholesale, its officers, employees, and affiliates from claims, damages, or expenses (including reasonable attorney fees) arising from your use of the program, violation of these Terms, or violation of third-party rights.
11. Governing Law & Disputes
Governing law: Florida.
Informal resolution: Contact legal@alliedpartswholesale.com before any formal dispute.
Binding arbitration: Disputes that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Broward County, Florida. Each party bears its own legal fees unless awarded by the arbitrator.
Class action waiver: All disputes must be resolved on an individual basis.
12. Termination
We may suspend or terminate your access at any time for violation of these Terms or any reason that endangers the platform or other users.
13. Changes to Terms
We may revise these Terms from time to time. Material changes will be communicated by email or a prominent site notice. Continued use after the effective date of revised Terms constitutes acceptance.
